Vendor Terms of Service

By posting products and selling through the Klamath Grown Online Market, you, the “Vendor,” agree to all aspects of the following terms of service. Please read carefully.
Klamath Grown reserves the right to alter this Terms of Service agreement without warning, at any time.
Online Market Values:
Klamath Grown is a nonprofit public charity organization dedicated to making it easier for Klamath Basin producers to sell their products locally in Klamath County and regionally in Southern and Central Oregon. Klamath Grown values the farmers, ranchers, and makers who are contributing to our Klamath Basin economy. We seek to work with vendors who are respectfully caring for their land, the animals they raise and/or the ingredients they use and we know that a commitment to these principles is helping care for our unique waters, soil, pastures and forests and help them flourish into the future. In order to build the kind of food web Klamath County deserves, we need our food system to reflect the diversity of our community. We believe that diversity leads to resilience and creativity. All people in our area deserve access to locally grown and produced foods, which is why Klamath Grown is working to make the online market accessible for everyone. We practice product and pricing transparency and want our market to be a place of learning and sharing between the vendors and Klamath Grown. Because diversity and community makes us all stronger, Klamath Grown will not tolerate discrimination or prejudice from vendors selling on the market.
Vendor Criteria:
All farm and ranch products sold through the Online Market must be 100% grown and harvested by the Vendor within the “Southern Oregon/Northern California High-Desert Bioregion” unless otherwise determined and approved by Klamath Grown Management.
Raw agricultural products permitted to be sold on the Online Market are limited to, fresh fruits and vegetables, herbs, grains, nuts, honey, eggs, dairy, meat, fish/seafood, and fresh-cut flowers.
Selling any raw agricultural product or value-added product on the Online Market is contingent upon the completion and approval of the Klamath Grown Online Market Vendor Application.
All new products must be submitted for review through the online New Product Form with tags identified.
All products must be pre-approved by Klamath Grown Management.
Klamath Grown reserves the right to limit the number of processed or value-added food products and/or Vendors (e.g. baked goods, jams/jellies, canned goods, etc.). All value-added products are subject to Klamath Grown Management approval prior to posting.
Value-added products must be produced and/or manufactured locally and made in a certified kitchen. Proof of certification must be provided immediately upon enrolling as a Member of the Online Market.
ODA labeling requirements must be met. Information included on the product label must also be included in the product description on the website.
The Vendor must be informed of, and follow, all rules and guidelines issued by the Food Safety Division of the Oregon Department of Agriculture, the USDA, and Klamath County Public Health.
Vendors selling fresh, raw produce must supply a food safety plan within one year of becoming a Member of the Online Market.
The Vendor must have all required licensing for legal sale of their product(s). All products offered for sale must comply with State and Federal standards governing weight, packaging and labeling.

Klamath Grown does not assume responsibility for Vendor product liability; each Vendor is therefore required to purchase necessary product liability insurance.
The Vendor shall indemnify, hold harmless and defend Klamath Grown and its Members, affiliates, employees, agents, successors and assigns, from and against, and reimburse Klamath Grown with respect to any claim, losses, damages, liabilities, costs and expenses, including interest and attorney's fees incurred by Klamath Grown by reasons arising out of or in connection with any vendor product defects claimed by any customers or any claims for the products causing illness.
Vendors will allow a site visit to their property by Klamath Grown staff if necessary.
Membership:
Benefits of Membership include the ability to utilize the Online Market website to advertise and sell products directly to retail customers, and the use of Wednesday pickup to distribute products. Additionally, Klamath Grown Management makes every effort possible to market and promote the Online Market as a whole throughout the year. This collective marketing of the Online Market drives sales for all Vendors.
All approved Vendors who sell products on the Online Market are required to pay an annual or monthly Membership fee. This fee shall be paid prior to posting any Market sales unless pre-approved by Klamath Grown Management. The fee shall be as follows per the Vendor’s requested duration. All durations will be assessed beginning the date in which a Vendor’s product(s) is(are) first sold.
A 30 day review will be conducted by Klamath Grown Management for each new vendor. Should Klamath Grown find any reason to revoke or suspend a Vendor’s Membership, the membership fee shall be refunded at a prorated amount..
As stated, collective marketing increases sales for all Vendors. Klamath Grown Management produces a weekly email promoting products within that order period. It is the responsibility of the Vendor to provide Klamath Grown with email content, including high resolution photos, product descriptions and facts. Klamath Grown strongly encourages Vendors to leverage their own social media platforms for promoting the Online Market; such cross promotion will benefit both parties and build a culture around local food in our community.
Klamath Grown reserves the right to revoke or suspend Vendor Membership, without cause described herein, at any time.
Weekly Market Schedule:
Products are subject to a quality control check the day of drop-off. Klamath Grown staff reserves the right to deem a product unacceptable for sale if it does not meet quality standards (see Appendix A); for which the product will be returned to the Vendor and the Vendor will not receive payment.
Customers pick up orders every Wednesday from 4-7 PM.
Product Postings:
The Market Manager shall post all products to the website.
Vendors must submit all products, product changes and quantities using their assigned shared Vendor Inventory Sheet to the Market Manager no later than 11:59 PM, Tuesday prior to the following order period.
Ingredient Labeling is required.
Fulfilling Orders, Packing and Delivery:
Vendors will receive a Pick List after the order period ends.
Each product should be clearly (large, legible font) labeled with Vendor name and product name. If necessary, products should be individually and neatly packaged (bags, boxes, containers). Customer names may be included on the packaging only with prior approval by Klamath Grown Management.
Currently, Klamath Grown provides fridge/freezer units as needed at the pickup site. The Vendor is responsible to check that temperature is adequate for their products and notify Klamath Grown Management if a fridge or freezer needs to be adjusted. If the Vendor needs additional cold storage, the Vendor shall provide it.
It is the Vendors responsibility to communicate their product storage requirements with Klamath Grown staff per relevant ODA Food Safety Guidelines, not based on a Vendor’s preference.
Consumable products may not be placed on the floor. Please place on or in provided storage as required by the product. Please notify Klamath Grown staff if additional storage is needed.
The distribution site is located at the west (side) entrance of the Herald & News building located at 2701 Foothills Blvd, Klamath Falls, OR 97601.
At time of delivery, Vendor must sign the provided picklist(s), or similar documentation, confirming they have accurately and completely delivered the product(s) and quantity(ies) required.
In emergency instances where a Vendor must cancel an order, the Vendor is responsible to notify the Market Manager no later than 9 AM the day of pickup.
Multiple order cancellations, or failure to deliver product, will result in the Membership being reviewed by Klamath Grown Management. Klamath Grown reserves the right to cancel Membership.
A Vendor may not use the Online Market distribution site and/or pickup time for business not administered through the Online Market website without prior approval from Klamath Grown Management.
If a Vendor would like to use the Online Market for sales, but deliver products by other means, approval by Klamath Grown Management must be given at least one (1) week prior to the distribution.
Vendor Payment:
The Vendor’s selling price of all products sold on the Online Market will be increased by 15% by Klamath Grown staff.
Klamath Grown will process Vendor payments within 15 days following the last full order period of the payment month. Payments will be issued and mailed via USPS by a third party service which estimates 10-14 days for processing. Payments equal the Vendor’s total sales from the order periods in which pickup is within the prior month, minus Market fees or other deductions.
Vendors will have a paper check mailed to the address listed in their Account.
All products listed on the Online Market must have a price and be sold through the Online Market. Payment for reservations or deposits for products are acceptable, and must be at least 15% of the final cost of the product.
The Online Market currently accepts the following forms of payment from customers: Credit/Debit Card, EBT/SNAP/DUFB, Farm Direct Dollars, Cash.
Customers will have the option to pay using SNAP/EBT/DUFB benefits at pickup. EBT payments will be treated the same as credit card payments and will be added to the total amount paid to the Vendor per the above information.
Customers will have the option to pay using Farm Direct Dollars at pickup. These vouchers will be forwarded to the qualifying vendors as part of their monthly payout.
Klamath Grown is not responsible for payment to the Vendor for a product until the product has been delivered, passed the quality control check and paid for in full by the customer. In the event that a customer does not pick up their order, leftover products will be available for the Vendor to pick up.

Product Sourcing Criteria:
Klamath Grown exists to bring people together around local food. The purpose of this document is to define “local” for the purposes of selecting products for sale on the Online Market, the Harvest Box Program, and all wholesale transactions facilitated by Klamath Grown. If a crop or ingredient is not grown in the Klamath Basin, standards for guiding sourcing decision making are outlined herein. This document is divided into two sections: Raw Products and Value Added Products.
